Terms of Service & Production Policies
1. Nature of Services & Business Model
Takara Corporation JSC acts as an authorized creative-manufacturing partner and B2B sourcing agency. Takara engineers production, conducts factory vetting audits, and manages quality control across a vetted network of audited partner factories in Vietnam and China. Takara does not own factory machinery or tooling directly.
2. Quotations, Pricing & Order Confirmation
All landed-cost manufacturing quotations provided by Takara are valid for 30 calendar days from the date of issuance, unless otherwise specified in written agreements. Orders become binding upon mutual execution of the Manufacturing Agreement and receipt of the agreed production deposit.
3. Tooling, Molds & IP Ownership
100% Client Ownership: All custom tooling, injection molds, master sewing patterns, and character design files developed specifically for the client remain the exclusive intellectual property of the client. Tooling will never be deployed for third-party production under any circumstances.
4. Quality Assurance, Inspection & Standards
Goods are manufactured in compliance with international safety and compliance benchmarks agreed upon prior to mass production, including EN71, ASTM F963, CPSIA, and ISO 9001. Final pre-shipment inspections are conducted in accordance with ANSI/ASQ Z1.4 (AQL 2.5/4.0) standards.
5. Governing Law & Dispute Resolution
These terms and all commercial contracts are governed by and construed in accordance with the commercial laws of the Socialist Republic of Vietnam. Any disputes shall be resolved through amicable negotiation or submitted to the Vietnam International Arbitration Centre (VIAC).
