## Scope & Business Model

**Exclusive B2B model:** takarahq.com is an e-commerce trade platform dedicated to corporate buyers, brands, retail chains and organizations (B2B/OEM/ODM). The platform does not serve individual consumer (B2C) retail transactions. Takara acts as a creative-manufacturing partner and B2B sourcing agency, coordinating production through a network of audited partner factories in Vietnam and China. Takara does not directly own factory premises, machinery, or tooling.

**Minimum order quantity (MOQ):** Takara's partner network operates industrial sewing lines with a standard MOQ per design of 500 units for the Vietnamese market and 1,000 units for export; molded items start at 3,000 units. Smaller orders for market-testing purposes are accepted only under a separate written agreement and a recalculated pricing schedule.

**Nature of pricing:** Prices displayed on the website are indicative reference/benchmark FOB figures. The official ex-works unit price is determined by MOQ, fabric/material specification (Velboa, rPET, OEKO-TEX), required lab testing (EN71, ASTM F963), packaging specification, and Incoterms 2020 conditions (EXW, FOB, CIF, DDP). Formal quotations remain valid for 30 days.

02

## Copyright, Intellectual Property & Non-Disclosure (NDA)

**Client copyright warranty:** Clients providing artwork, mascots, logos, or designs must hold lawful intellectual property rights or a valid Letter of Authorization (LOA) for production. Takara reserves the right to refuse or suspend production upon any indication of copyright infringement; the client bears full legal liability toward any third party in such cases.

**Takara's non-disclosure commitment:** All 2D/3D technical drawings, proprietary molds/patterns, and order information are subject to strict confidentiality protocols across the entire partner network. Takara will not copy, share designs with third parties outside the supply chain, or commercialize them in any form without authorization.

03

## Technical Requirements & Ex-Factory Standards

All finished goods sourced and managed through Takara's partner network must pass 100% quality control (QC) inspection and meet the relevant technical and safety benchmarks of Vietnam's National Technical Regulations (such as QCVN 3:2019/BKHCN), together with international export standards (ISO 8124, BS EN71, ASTM F963/CPSIA, RoHS, REACH depending on product category).

Takara will firmly decline to manufacture products using unlocked sharp accessories, dyes exceeding permitted heavy-metal thresholds, or filling material of unverified provenance.

04

## Payment Terms & Commercial Roadmap

Transactions are conducted via Telegraphic Transfer (T/T) or Letter of Credit (L/C at sight) directly into Takara's corporate bank accounts in Vietnam:

### Phase 1 - Sampling Development

Clients pay the sample fee (US$100–300 per design depending on complexity, including up to 3 revision rounds) and international express courier costs (DHL/FedEx) in full before sampling begins. Further revision rounds are quoted separately. The sample fee is invoiced separately from mass production.

### Phase 2 - Mass Production

- A deposit, in the amount set out in the Commercial Contract, is required upon signing the formal Commercial Contract and approving the sealed Golden Sample.
- The balance is payable upon issuance of the QC Final Inspection Pass Report prior to bill of lading release (B/L) or FOB handover.

05

## Order Cancellation & Liquidated Damages

- If a client cancels an order after the partner factory has procured fabrics and cut panels, the deposit paid under the contract is non-refundable to offset incurred material and labor liabilities.
- If Takara exceeds the contracted delivery date by more than 30 business days (excluding Force Majeure), the client is entitled to terminate the contract and receive a 100% refund of the deposit within 7 business days, alongside contractual delay penalties.

06

## Claim Resolution Protocol (4-Step SLA)

Disputes are prioritized for resolution through good-faith B2B negotiation via [contact@takarahq.com](mailto:contact@takarahq.com) or the Partner Portal:

- **Step 1 (Within 24 business hours):** Issue intake, requiring PO ID, bill of lading, defect photo/video evidence, and defect percentage.
- **Step 2 (3–5 business days):** The QA team cross-checks the retained counter-sample, reviews QC inspection logs, and audits the production record.
- **Step 3:** Takara issues a written remedy proposal (repair, replacement production, invoice credit, or coordination of a freight/carrier insurance claim).
- **Step 4:** Final sign-off and execution of a claim settlement record.

If negotiation does not resolve the matter within 60 days, the dispute will be referred to the Vietnam International Arbitration Centre (VIAC) or a competent court in Vietnam.

07

## Data Protection & Access Scope

Partner data (purchasing records, contact information, tech packs) is used solely for internal costing, international logistics coordination (DHL, FedEx, Maersk), customs declarations, and submission of samples to independent testing labs.

Technical files are securely retained for a minimum of 5 years to support re-orders and origin verification audits. Data is hosted on internationally certified security infrastructure (Cloudflare, AWS). Clients may request access, correction, or deletion of their data by writing to [contact@takarahq.com](mailto:contact@takarahq.com) (processed within 3 business days).

08

## Force Majeure

Takara is exempt from liability for delay or failure to deliver on time arising from events reasonably beyond its control, including natural disasters, widespread epidemic lockdowns, war, international trade embargoes, or administrative directives disrupting maritime supply chains. Both parties will negotiate in good faith to agree a revised timeline.
