License cost calculator · guidance

## How much does a character license cost?

Royalty, minimum guarantee and upfront payment: the three numbers you negotiate with a licensor, plus a free calculator to estimate your own deal. Terms vary by licensor, property, product category and market.

Royalty **8–15%**

### A percentage of net sales

Net sales = wholesale invoice price minus returns and discounts (deductions usually capped near 10%). Character merchandise most often sits at 10–12%; top properties ask more, and FOB-based royalties run higher.

Minimum guarantee (MG) **By market**

### Modest in Vietnam, up to ~US$1M in the US or China

The minimum royalty you owe for the term: you pay earned royalties or the MG, whichever is higher. Its size depends on the property, category and country. Internationally it is often about half of projected royalties, split into yearly minimums.

Advance & payment **100%**

### Of the MG, upfront on signing (Vietnam)

Royalties from your sales are offset against it; any unused balance is not refunded. Internationally: a 25–50% advance on signing (non-refundable, credited against royalties), the rest in instalments. Terms usually run 2–3 years, with quarterly royalty reports.

01 · Who we work with

## Built for everyone who signs off on a character

A licensed product has more than one approver. We work with each side of the agreement and keep every approval in one trail.

### Licensors & IP owners

You own the character and the brand book. We make sure every product that carries it looks on-model, passes your approval stages and reaches the shelf on the launch date you planned.

- Style guide treated as the spec
- Physical samples for every approval stage
- Documented QC per shipment

### Master licensees & licensees

You hold the rights for a territory and answer to the licensor. We produce to the approved spec, prepare the sample sets your licensor asks for and keep lead times you can commit to.

- Samples prepared for licensor review
- One partner for many SKUs
- Tagger program since 2018

### Brands with a character or mascot

Your mascot, film character or campaign figure is your IP too. We build it into plush, blind boxes, figures and gift sets held to the same character-design compliance.

- Mascots, film tie-ins, campaigns
- Concept to finished product
- Rohto, Galaxy Cinema, World Trade Center

02 · Why licensed programs go wrong

## Most factories aren't built for someone else's IP

A generic factory optimizes for its own catalog. A licensed program needs a partner who treats your style guide as the spec, not a suggestion.

What usually happens

### Drift, skipped gates, no paper trail

- **Off-model output** Proportions, face details and colors drift from the approved art as soon as the factory optimizes for its own convenience.
- **Approval skipped** Bulk production starts before the licensor has signed a physical sample, and the problem shows up after the mold is cut.
- **Silent substitutions** A cheaper fabric, dye or finish replaces the approved one between sample and bulk, and nobody tells the licensor.
- **No audit trail** When the licensor's brand-protection or legal team asks for inspection records, there is nothing to hand over.

How Takara runs a licensed program

### The style guide is the contract

- **Color held to reference** Pantone references and physical color standards checked against the ratio a licensor’s own QC team uses, not eyeballed on the floor.
- **Golden Sample gate** A physical, licensor-approved sample is signed before bulk production starts. Bulk is locked until it is.
- **Spec locked after approval** Materials and finishes on the approved sample are the ones the partner factory is briefed to use in bulk.
- **3-stage QC, documented** Raw material inspection, in-line DUPRO and a final AQL 2.5 inspection, recorded for every shipment.

Takara has run this discipline on its Doraemon, Shin-chan and One Piece OEM program for Tagger, the master licensee of those characters in Vietnam, since 2018.

03 · Approval workflow

## Five stages, from license to retail shelf

Takara manages the upstream so you can focus on the story your IP is telling.

1. 01 License & style-guide onboarding Your brand book, approved art, color references, legal lines and usage rules become the working spec every partner factory is briefed against.
2. 02 Concept & design Product concepts, sketches or 3D models adapted to each product type, sent back for your comments before anything is sampled.
3. 03 Samples & Golden Sample Physical pre-production samples, color-matched to your references, then one Golden Sample you sign. Three sample rounds are included.
4. 04 Production & 3-stage QC Bulk production at a partner factory audited before the order was placed, inspected at raw material, in-line and final stages.
5. 05 Delivery & retail activation Packed, documented and delivered to your retail doors, distributor or e-commerce fulfillment partner for the activation date you set.

Terms we use Golden SampleThe single physical sample the licensor signs as the reference for bulk production. Every bulk unit is inspected against it. PantoneA standard color-reference system. Licensors specify brand colors as Pantone codes so every factory matches the same shade. DUPRODuring-production inspection: checking units while the line is running, so defects are caught before the whole batch is finished. AQL 2.5Acceptance Quality Limit 2.5: an international sampling standard for the final inspection that sets how many units are checked and how many defects are allowed.

06 · Both sides of the license

## We have been the licensee, the OEM and the sourcing agent

Few manufacturing partners have sat on every side of a licensing deal. It is why our samples arrive ready for your approval stage, not for our convenience.

Licensee

### Pokémon, since 2016

Licensed Pokémon apparel and plush under Takara’s own Mirako brand, official licensee from 2018, distributed through Ministop, Aeon Mall, Kim Đồng and Phương Nam Books.

OEM manufacturer

### Tagger, since 2018

Doraemon, Shin-chan and One Piece merchandise for the master licensee, where Japanese licensors check color to an exact ratio before anything ships.

Sourcing agent

### ThreeSixty Group, since 2020

Won a competitive bid in Shanghai to become the group’s Vietnam sourcing partner, delivering to Walmart, Target and other major US retailers.

Founding member of VCIPLA

The Vietnam Cultural and Intellectual Property Licensing Alliance, an industry alliance for Vietnam’s creative industries.

Long-running HKTDC relationship

VIP invitee to the Asian Licensing Conference (2018) and selected supplier at Instyle Hong Kong in Vietnam.

07 · Product safety & compliance

## Compliance your legal team can sign off on

Takara holds no certification itself. The partner factories we place licensed work with test to these standards, verified through accredited third-party labs, depending on your product and destination market.

Mechanical & physical

### Built safe before it is built pretty

- **ASTM F963 (US)** Mechanical and physical hazards, including sharp edges from de-molding and small parts that can break loose.
- **EN71-1 (EU)** Mechanical and physical properties for toys sold into the EU.
- **ISO 8124** The international baseline most Asia-made toys are built to before regional rules are layered on top.

Chemical, regulatory & social

### What goes into it, and who makes it

- **CPSIA (US)** Lead and phthalate limits with third-party lab testing and a Children’s Product Certificate per production lot.
- **EN71-3 / REACH (EU)** Migration limits on heavy metals, plus restrictions on substances of very high concern in plastics and coatings.
- **California Prop 65** A separate warning-label rule that buyers often miss until a shipment is held at port.
- **Social audits** BSCI, SMETA 4-Pillar and FAMA audits held by the partner factories, matched to what your license agreement requires.

10 · Why licensed merchandise, why now

## The category keeps growing

Characters sell long after the film or campaign: merchandise is where an IP keeps earning.

$32.5B global movie-merchandise market in 2024, growing 3.2% a year

$7.5B of it in Asia Pacific, the fastest-growing region

~13× Lilo & Stitch merchandise growth: from ~$200M in 2019 to $2.6B in 2024

11 · FAQ

## Questions licensors ask us

**How much does it cost to license a character?**

Usually three parts: a royalty of about 8–15% of net sales (often 10–12% for character merchandise), a minimum guarantee (MG) that depends on the property, product category and country (modest in Vietnam, up to about US$1 million for major properties in markets such as the US or China), and an upfront payment. The calculator on this page estimates the royalty per unit, the units needed to earn back the MG and what you pay each year.

**What is a minimum guarantee (MG) in licensing?**

The least royalty you owe the licensor over the license term, even if sales fall short: you pay the higher of earned royalties or the MG. Internationally it is often set at about half of projected royalties and split into yearly minimums.

**Do you pay the MG upfront?**

In Vietnam, licensors usually ask for 100% of the MG upfront on signing and then offset earned royalties against it; any unused balance is not refunded. Internationally, an advance of 25–50% of the MG on signing is common, with the rest paid in instalments or as year-end shortfall payments.

**Does Takara hold the license for my program?**

No. For your program, you or your licensee hold the rights and Takara manufactures to the approved style guide under that agreement. Takara has also held a license itself (Pokémon, under its Mirako brand, since 2016), so we understand the licensee side of approvals.

**Can you work with our licensee or agent instead of us directly?**

Yes. Our Doraemon, Shin-chan and One Piece work is for Tagger, the master licensee in Vietnam. We can take the brief from the licensee and prepare the samples your licensor needs to review.

**How do you keep colors and details on-model?**

Your Pantone references and physical color standards are the spec. Samples are color-matched to them, and bulk production only starts after you sign a physical Golden Sample, which every bulk unit is then inspected against.

**What is the minimum order?**

Plush and soft goods: 500 units per design for Vietnam and 1,000 for export. Blind boxes and other molded items start at 3,000 units because a mold has to be built first.

**How many sample rounds are included?**

The sample fee, USD 100–300 depending on the design, includes three revision rounds before bulk production. Further rounds are quoted separately.

**What quality control does a licensed run go through?**

Three stages: raw material inspection, in-line DUPRO checks during production and a final AQL 2.5 inspection before shipment, documented for every shipment.

**Which safety standards do you cover?**

It depends on the product and where it will be sold: for example ASTM F963 and CPSIA for the US, EN71 and REACH for the EU. The partner factories producing your order test to the standards your market requires; Takara itself holds no certification.

**How fast can you move?**

It depends on the product and approval rounds. On the Rohto blind-box program, R1 samples for the first 3 designs came in 7 days and 23,400 units were delivered 25 days ahead of contract.
